1. Agreement to Terms

By accessing or using Handoff Kit (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all users of the Service, including but not limited to individuals, consulting agencies, and organizations.

2. Description of Service

Handoff Kit provides AI-powered documentation generation for software projects. The Service:

• Analyzes code repositories from GitHub and Azure DevOps
• Generates comprehensive project handoff documentation using AI
• Creates exportable PDFs and shareable links
• Provides team collaboration features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

To use the Service, you must:

• Provide accurate, current, and complete information
• Maintain and update your information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of unauthorized access

You must be at least 18 years old to create an account. You may not use another person's account without permission.

4. Subscription and Billing

4.1 Subscription Plans

The Service offers multiple subscription tiers with different features and limitations. Current plan details are available on our pricing page.

4.2 Beta Access

During the Beta period, all features may be available at no cost. We reserve the right to transition to paid plans with advance notice.

4.3 Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payments are processed securely through Stripe
• You authorize us to charge your payment method on file
• Failed payments may result in service suspension
• All fees are non-refundable except as required by law

4.4 Plan Changes

You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle. Downgrades may result in loss of features or data beyond the new plan's limits.

4.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or malware
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service
• Impersonate others or provide false information
• Use the Service to spam or harass others

6. Intellectual Property

6.1 Our Content

The Service, including its design, features, functionality, and content (excluding User Content), is owned by Handoff Kit and is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain all rights to your code repositories and content ("User Content"). By using the Service, you grant us a limited license to:

• Access and analyze your repositories
• Generate documentation based on your code
• Store and process your content as necessary to provide the Service
• Display your generated documentation to authorized users

This license ends when you delete your content or close your account, except for content you've shared with others.

6.3 Generated Documentation

You own the documentation generated by the Service. We do not claim ownership of AI-generated content based on your repositories.

7. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy. Key points include:

• We use industry-standard security measures
• Repository data is encrypted in transit and at rest
• We do not sell or share your data with third parties for marketing
• AI processing is performed by Anthropic under their data handling policies
• You control who can access your generated documentation

8. Third-Party Services

The Service integrates with third-party platforms including GitHub, Azure DevOps, Stripe, and Anthropic. Your use of these platforms is subject to their respective terms of service. We are not responsible for third-party services or their content.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Accuracy or completeness of AI-generated documentation
• Uninterrupted or error-free operation
• Security or absence of harmful components

You acknowledge that AI-generated documentation may contain errors or inaccuracies and should be reviewed before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDOFF KIT SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Unauthorized access to or alteration of your content
• Statements or conduct of third parties
• Any matter beyond our reasonable control

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Handoff Kit and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our discretion for any reason

Upon termination, your right to use the Service ceases immediately. You may export your data before termination. Provisions that should survive termination will continue to apply.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@handoffkit.ai to attempt to resolve the dispute informally.

13.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except for:

• Claims for injunctive or equitable relief
• Small claims court matters
• Intellectual property disputes

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class arbitrations.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending email notifications for significant changes

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Handoff Kit.

16.2 Severability

If any provision is found to be unenforceable, the remaining provisions will remain in effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our consent. We may assign our rights without restriction.

16.5 Force Majeure

We are not liable for failures or delays due to circumstances beyond our reasonable control.
